1 About these Terms

These Terms of Use ("Terms") govern your access to and use of the Talentra platform ("Service"), operated by Talentra Technologies Private Limited ("Talentra", "we", "us", or "our"), a company incorporated under the Companies Act 2013 with registered office in India.

By signing up for a free trial, activating a paid subscription, or accessing the Service on behalf of an organisation, you ("Tenant Admin" or "you") agree to these Terms on behalf of your organisation ("Tenant"). You represent that you have the authority to bind your organisation to these Terms.

Individual users (HR Managers, Case Writers, Department Managers, Employees, and Leadership users) access the Service under the authority of their Tenant. Talentra's contractual relationship is with the Tenant, not individual users.

2 Who can use Talentra

The Service is intended for businesses and organisations incorporated or operating in India. Individuals may not sign up for personal use.

To use Talentra, your organisation must:

• Be a legally registered entity (company, LLP, partnership, or similar)
• Designate a Tenant Admin who is an authorised representative of the organisation
• Have a valid work email domain for user invitations
• Obtain and maintain your own AI provider API key for the duration of your subscription (see Section 6)

Talentra reserves the right to refuse service to any organisation at its sole discretion.

3 Account and access

Tenant Admin responsibilities

The Tenant Admin is responsible for all activity within the Tenant's account, including actions taken by HR Managers, Case Writers, Department Managers, Employees, and Leadership users they invite.

• You must keep your login credentials secure and not share them with others
• You must promptly deactivate access for any user who leaves your organisation
• Each user must have exactly one role; creating multiple accounts for the same individual to hold multiple roles is not supported
• You may not transfer your account to another organisation without Talentra's written consent

Sessions and security

• Sessions expire after 30 minutes of inactivity
• Talentra enforces AES-256 encryption for sensitive data at rest (including API keys)
• All data is transmitted over HTTPS
• You are responsible for notifying Talentra immediately if you become aware of any unauthorised access to your account

4 Subscription, trial and billing

Free trial

New tenants receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, access is suspended until a paid plan is activated. Trial data is retained for 30 days after trial expiry before permanent deletion.

Paid plans

Paid subscriptions are billed annually in Indian Rupees (INR) via Razorpay. Prices are as displayed in the Billing section of your account at the time of purchase. Talentra reserves the right to change pricing with 30 days' notice to existing subscribers.

Refunds

Annual subscriptions are non-refundable except where required by applicable Indian consumer law. If you believe a charge was made in error, contact support within 14 days of the charge date.

AI evaluation call limits

Each tenant has a monthly limit on the number of AI evaluation calls (1 call = 1 question response scored). The default limit is 500 calls per month. When the limit is reached, all pending and new AI evaluations are paused until the limit resets on the 1st of the following month or the Tenant Admin raises the limit. Talentra is not responsible for any impact on assessment timelines arising from limit exhaustion.

5 AI evaluation — your responsibilities

By using Talentra's AI evaluation features, you acknowledge and agree that:

• AI scores may contain errors, biases, or inaccuracies and must be reviewed by a qualified HR professional before being used for any employment-related purpose
• You are solely responsible for any employment decision made using data from the Service
• You will configure AI evaluation tone, industry context and role level settings appropriately for your organisation
• The HR Manager's override capability exists precisely to correct AI errors; using it is an expected and encouraged part of the workflow
• Talentra does not warrant that AI evaluation outputs comply with any specific employment law, anti-discrimination law, or HR regulation applicable to your organisation
• Narrative Simulation conversation transcripts and scores are derived from AI character interactions and carry the same advisory status as assessment scores

Talentra recommends that all assessment outcomes be reviewed by a qualified HR or legal professional before being used in any employment process with legal consequences.

6 BYOK — AI provider keys

Talentra uses a Bring Your Own Key (BYOK) model for AI evaluation. You are responsible for obtaining and maintaining a valid API key from your chosen AI provider (Anthropic, OpenAI, or Google).

• You must comply with the terms of service of your chosen AI provider
• All costs incurred with your AI provider are your sole responsibility; Talentra has no visibility into or control over your provider billing
• Talentra stores your API key encrypted at rest (AES-256); it is never displayed in plaintext after entry and never included in logs
• Talentra uses your key solely to execute AI evaluations for your tenant's assessments and Narrative Simulations
• You must notify Talentra promptly if you believe your API key has been compromised and rotate it immediately via Tenant Settings
• Talentra accepts no liability for charges incurred on your AI provider account, including those arising from misconfigured call limits or unauthorised use of your key

During your free trial, Talentra may provide a limited-use platform API key. This key is revoked at trial end. Talentra reserves the right to withdraw this provision at any time.

7 Your content

All content you upload, create, or generate within the Service ("Your Content") — including competency definitions, scenario narratives, rubrics, training manuals, employee assessment responses, HR notes, and evaluation scores — remains your property.

• You grant Talentra a limited, non-exclusive licence to host, process and display Your Content solely to provide the Service to you
• Talentra does not use Your Content to train AI models
• Talentra does not share Your Content with other tenants under any circumstances
• You are responsible for ensuring that Your Content does not violate any applicable law or third-party rights
• You represent that you have all necessary authorisations to collect and process employee assessment data under applicable Indian employment and data protection law

Upon termination of your subscription, Your Content is retained for 30 days before permanent deletion, during which you may export it. After deletion, recovery is not possible.

8 Acceptable use

You must not use Talentra to:

• Discriminate against employees on the basis of caste, religion, gender, age, disability, race, sexual orientation or any other protected characteristic under Indian law
• Conduct assessments without the knowledge of the employees being assessed
• Use AI evaluation outputs as the sole basis for termination, demotion, or other adverse employment actions without independent HR review
• Upload content that violates any third-party intellectual property rights (including training manuals you do not have rights to use)
• Attempt to reverse-engineer the AI evaluation system, circumvent call limits, or access other tenants' data
• Use the Narrative Simulation AI Interactive Counterpart to collect information for purposes other than competency development
• Resell, sublicence, or white-label the Service without Talentra's written consent

Talentra reserves the right to suspend accounts that violate this section without notice.

9 Intellectual property

The Talentra platform, its design, software, documentation and all content produced by Talentra (including the starter competency library, scenario templates, and AI evaluation engine) are the exclusive intellectual property of Talentra Technologies Private Limited and are protected under the Copyright Act 1957 and other applicable Indian laws.

Nothing in these Terms transfers any intellectual property rights in the Service to you. Your use of the Service does not grant you any rights to the Talentra name, logo, or brand.

10 Limitation of liability

To the maximum extent permitted by applicable Indian law:

• Talentra's total liability to you arising out of or in connection with the Service shall not exceed the total fees paid by you to Talentra in the 12 months immediately preceding the event giving rise to the liability
• Talentra is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill
• Talentra is not liable for any employment-related claim, regulatory action, or legal proceeding arising from your use of assessment data or AI evaluation outputs
• Talentra is not liable for charges incurred with your AI provider
• Talentra is not liable for service interruptions caused by your AI provider's API availability

11 Suspension and termination

Suspension by Talentra

Talentra may suspend your account immediately and without notice if:

• You materially breach these Terms
• Payment is overdue by more than 7 days
• We have reasonable grounds to believe your account is being used in a manner that poses a legal or security risk

Termination by you

You may cancel your subscription at any time through the Billing section of your account. Cancellation takes effect at the end of the current billing period. No pro-rata refunds are issued for the remainder of an annual subscription period.

Effect of termination

• All user access is immediately revoked
• Your Content is retained for 30 days; you may request an export during this period
• After 30 days, all Tenant data is permanently deleted from Talentra's systems
• Talentra will not retain copies of your AI provider API key after deletion

12 Governing law

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

13 Changes to these Terms

Talentra may update these Terms from time to time. When we make material changes, we will:

• Notify the Tenant Admin by email at least 14 days before the changes take effect
• Display a notice in the platform
• Update the "Last updated" date at the top of this page

Continued use of the Service after the effective date of updated Terms constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.
